Terms of Service

Agreement to Terms

By accessing or using Action Engine ("Service"), developed by Tally Integrations LLC, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Description of Service

Action Engine is a Salesforce automation platform that enables users to create, configure, and execute business process automations within their Salesforce organizations.

Account Registration and Security

Account Creation

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized use of your account

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws or regulations
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service to send spam or unsolicited communications
  • Reverse engineer or attempt to extract source code from the Service

Salesforce Integration

Authorization

  • You grant us permission to access your Salesforce organization as necessary to provide the Service
  • You are responsible for configuring appropriate permissions and access controls in Salesforce
  • We will only access data and perform actions as configured by you through our platform

Data Responsibility

  • You retain ownership of all data in your Salesforce organization
  • You are responsible for the accuracy and legality of data processed through our automations
  • You must ensure compliance with all applicable data protection regulations

Service Availability and Support

Service Availability

  • Action Engine operates as a native Salesforce application within your org
  • Service availability is tied to Salesforce's platform availability
  • We do not operate external servers or APIs that could cause downtime
  • We guarantee compatibility with current Salesforce releases and provide updates as needed
  • Any service interruptions would be due to Salesforce platform issues beyond our control

Support

  • Support is provided according to your subscription plan
  • We will make reasonable efforts to resolve technical issues promptly
  • Support does not include custom development or extensive consultation services

Fees and Payment

Subscription Fees

  • Fees are charged according to your selected subscription plan
  • All fees are non-refundable unless otherwise specified
  • We reserve the right to change pricing with 30 days' notice
  • Subscription cancellations require 30 days' written notice

AppExchange Billing

  • Billing may be processed through Salesforce AppExchange
  • AppExchange terms and conditions also apply to your use of the Service

Intellectual Property

Our Rights

  • Action Engine and all related technology are our proprietary property
  • These Terms do not grant you any ownership rights in the Service
  • Our trademarks and logos may not be used without written permission

Your Content

  • You retain full ownership of all data and configurations within your Salesforce org
  • We do not access, store, or process your automation data on external systems
  • All configurations and data remain within your Salesforce environment
  • We do not collect aggregated or anonymized data from your usage

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any automations or data processing you configure

Termination

By You

  • You may terminate your subscription with 30 days' written notice
  • Termination notice must be sent to mf@gettally.io
  • You remain responsible for all fees through the end of your notice period
  • You may uninstall the managed package from your Salesforce org at any time

By Us

  • We may immediately terminate access for accounts that violate these Terms
  • We may discontinue the Service with 90 days' notice to all subscribers
  • We reserve the right to disable license access immediately upon termination
  • Termination does not affect data within your Salesforce org

Data Export and Deletion

Upon termination:

  • All automation configurations remain within your Salesforce org
  • You retain full access to your data and configurations
  • We will remove your org from our subscription system
  • No data export is necessary as all data remains in your control
  • You may keep the managed package installed or uninstall it at your discretion

Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of the Service constitutes acceptance of modified Terms.

Governing Law

These Terms are governed by the laws of the United States without regard to conflict of law principles.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
